1. Agreement to Terms
By accessing this website and using the services of Layer7 Consulting Inc. ("Layer7"), a corporation based in Milton, Ontario, Canada, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.
2. Scope of Services
Layer7 Consulting Inc. provides production migration, recovery, deployment and stabilization services, network and cloud infrastructure consulting, and — as secondary capabilities — workflow automation, custom AI integrations and application development. The specific scope, deliverables, personnel and timeline of any project will be outlined in a separate Statement of Work (SOW) or consulting agreement agreed upon by both parties before work commences. Layer7 Consulting Inc. is the contracting party and remains accountable for the scope it agrees to deliver.
3. Intellectual Property & Ownership
Upon full payment for a project, all custom code, configurations, and accounts created specifically for the client are assigned to the client. You own 100% of the deliverables we build for you, along with the documentation and the ability to take the work elsewhere — there is no lock-in. Layer7 Consulting Inc. retains rights only to its pre-existing internal tooling, general know-how, and non-client-specific libraries or frameworks that predate or are developed independently of the engagement; where any such component is incorporated into a deliverable, the client receives a perpetual, royalty-free license to use it as part of that deliverable. Any proprietary business data or logic specific to the client remains the sole property of the client at all times.
4. Service Limitations & Liability
Our automation systems may rely on third-party APIs and platforms such as Make, OpenAI, Google services, CRM providers, hosting providers, payment processors, and other client-approved tools. We are not liable for systems breaking due to unexpected third-party API changes, outages, deprecations, policy changes, or account restrictions. While we engineer with reliability and fault tolerance in mind, our total liability for any claims arising from our services is limited to the amount paid for the specific service module in question.
5. Confidentiality
We prioritize absolute discretion. Any sensitive business data, workflows, or insider information disclosed to Layer7 Consulting Inc. over the course of an engagement will be handled with strict confidentiality and will not be shared with unauthorized third parties under any circumstances.
6. Governing Law
These Terms shall be governed and construed in accordance with the laws of Canada, without regard to its conflict of law provisions.
